VA Client’s Terms & Conditions

This Work for Hire Agreement is made and entered into between LaunchPreneur and LaunchViral, hereinafter referred to as "Service Provider," and our clients, hereinafter referred to as "Client."

1. Services Description. Service Provider agrees to render Assistant/Specialist services as requested by the Client. The Services may encompass various marketing and administrative tasks, including but without limit to social media management, sales outreach, calendar scheduling, email management, influencer outreach, and any other duties mutually agreed upon in the service agreement.

2. Service Location. The Service Provider's Assistant/Specialist operates remotely from their designated workspaces. Service Provider does not employ virtual assistants to work from any physical office locations.

3. Client Responsibilities. The Client acknowledges that the Assistant/Specialist provided by Service Provider are trained but will be managed directly by the Client. The Client assumes full responsibility for directing and providing necessary access, such as email passwords, to their designated virtual assistant. Service Provider is not liable for the direct management or outcomes of the Client's interactions with the virtual assistant.

4. Payment Terms. The Client's credit card will be charged on the monthly anniversary date of this agreement and thereafter on a monthly basis. All charges are non-refundable.

5. Term/Termination. Either party may terminate this agreement upon 30 days' written notice. Upon termination, any outstanding payments become immediately due.

6. Confidentiality. Service Provider and its Assistant/Specialist shall maintain strict confidentiality regarding all Client-related information.

7. Liability. Service Provider shall not be held liable for losses, damages, or issues arising from this agreement or the work done on behalf of the Client.

8. Ownership of Work Product. Any work produced by the Assistant/Specialist in connection with the Services shall be deemed the exclusive property of the Client.

9. Independent Contractor Relationship. The Client recognizes and acknowledges that the Assistant/Specialist provided by the Service Provider operates as an independent contractor and is not an employee of the Client.

10. Non-Circumvent Clause. The Client acknowledges that the Assistant/Specialist provided by the Service Provider is a valuable asset. During the term of this agreement and for a period of 12 months following its termination, the Client agrees not to directly or indirectly solicit, hire, or engage in any employment or contractual relationship with the Assistant/Specialist outside the scope of this agreement. In the event of a breach, the Client shall pay the Service Provider a non-negotiable fee of $30,000 USD within 30 days of such breach, as fair compensation for the invested time, resources, and training.

11. Account Creation and Ownership. All outreach emails associated with social accounts created for engagement are the exclusive property of the Service Provider. The company has the authority to create, modify, or terminate these accounts as needed and retains the exclusive right to manage, modify, or transfer ownership at its discretion. The Service Provider is committed to robust security measures, including secure passwords and two-factor authentication, to protect accounts from unauthorized access. Regular updates on account activities and performance, coupled with team communication, ensure transparency and alignment with outreach and engagement strategies.

12. Indemnification Clause. Clients providing their own accounts for the purpose of the Service Provider’s team outreach and engagement, as well as those who choose not to utilize the Service Provider accounts for any reason, hereby agree to indemnify and hold the Service Provider harmless from any and all liabilities, damages, losses, and expenses incurred by the Service Provider arising out of or in connection with the use or non-use of the provided accounts.

This agreement governs the provision of Assistant/Specialist services by LaunchPreneur and LaunchViral to the Client. By issuing payment and signing up, the parties agree to abide by and be bound by the terms and conditions outlined herein.
